In these Terms of Service, the following terms have the meanings set forth below:
"Service" means the Prompt Raptor platform, website, mobile applications (if released), and all related services, features, content, and tools we provide.
"We," "Us," "Our," "Company" means Prompt Raptor and its affiliates, successors, and assigns.
"You," "Your," "User" means any person or entity accessing or using the Service.
"Content" means prompts, text, images, feedback, submissions, and any materials provided by users or the Company.
"Coins" means the virtual currency used within the Service that may be earned, purchased, or redeemed subject to these Terms.
"Redemption" means exchanging Coins for cash, prizes, rewards, or other benefits as permitted by the Service.
"Terms" means these Terms of Service and any amendments, updates, or modifications thereto.
2. Acceptance of Terms
By accessing or using Prompt Raptor services (the "Service"), including our website, mobile applications (if released), and any related services, platforms, features, or tools we offer now or in the future, you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using the Service.
We reserve the right to modify these Terms at any time. We will notify users of material changes via email notification (if email provided), in-app notification, or website banner. Continued use of the Service after changes constitutes acceptance of modified Terms.
Certain features may be subject to additional terms and conditions, which will be presented to you before using those features.
3. Service Description
Prompt Raptor provides (subject to change at our sole discretion):
Prize Drawings (Raffles): Use coins to enter random prize drawings for real prizes (gift cards, cash, etc.)
Offerwall: Complete third-party offers to earn coins
Subscription Tiers: Paid memberships with increased earning caps and exclusive features
Community Features: Leaderboards, past winners display, user profiles
Important: We reserve the right to modify, suspend, or discontinue any feature, service, or the entire platform at any time without prior notice and without liability to you.
We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, technical issues, force majeure events, or third-party service disruptions.
We reserve the right to modify or discontinue features, change pricing structures, and update functionality. We will provide reasonable notice for material changes affecting paid services.
4. Account Registration
Age Requirement: You must be at least 18 years old to use Prompt Raptor. By creating an account, you confirm that you are 18 years or older.
Account Creation: To use earning features, you must create an account by providing a valid email address and username. We use magic link authentication (passwordless email-based login) for secure access.
Account Security: You are responsible for maintaining confidentiality of your email access and magic link tokens, all activities under your account, and notifying us immediately of any unauthorized access.
Account Limits: You must provide accurate information. False information may result in account termination. We allow a maximum of 3 accounts per household/IP address. You may not create multiple accounts to abuse the system. Accounts exceeding this limit or detected as abusive may be merged, suspended, or terminated without notice.
Fraud Detection: We employ automated and manual fraud detection systems. Suspicious patterns, VPN/proxy usage, bot activity, or manipulation attempts may result in immediate suspension or termination without warning.
4. Age Requirements
You must be at least 13 years old to use the Service. Users under 18 require parental consent.
If you are between 13-17 years old, a parent or guardian must review and agree to these Terms. Parent/guardian is responsible for your activities. We may require parental verification for certain features, and prize fulfillment requires parental approval.
We do not knowingly collect information from children under 13. If we discover an account belongs to a user under 13, we will terminate the account immediately, delete all collected information, and notify the email address on file.
5. User Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may NOT:
Violate any laws or regulations
Infringe intellectual property rights
Harass, abuse, or harm others
Submit false, misleading, or spam content
Attempt to manipulate the earning system
Reverse engineer our software
Use automated tools (bots, scripts) without permission
Impersonate others
Interfere with Service operation
All submitted prompts must be original or properly attributed, not contain harmful content, not violate third-party rights, meet quality standards, and be appropriate for all ages.
6. Virtual Currency (Coins)
Coins are virtual currency that may be redeemed for cash, prizes, or other rewards at our sole discretion, subject to eligibility requirements, account review, and compliance with these Terms. Coins cannot be transferred between users, are not property or assets, and we reserve the right to deny, limit, or suspend access to cashout privileges and cashout requests at any time without notice or reason. We hold no obligation to disclose the reason for our decision, and all cashout decisions are final and not subject to appeal.
Coins are earned by submitting unique, accepted prompts, winning contests and leaderboard competitions, completing offers, and receiving as prizes. Coin earning is subject to daily caps based on subscription tier:
Free/Hatchling tier: 500 coins/day (5 coins per approved prompt)
Raptor tier: 1,000 coins/day (10 coins per approved prompt)
Velociraptor tier: 2,000 coins/day (15 coins per approved prompt)
Apex tier: 5,000 coins/day (25 coins per approved prompt)
Daily caps reset at midnight UTC. Coins may be used for entering prize drawings (raffles), purchasing rewards boosts, and other features we may introduce.
Coins do not expire unless your account is terminated, you violate Terms (coins may be forfeited), or the feature is discontinued (reasonable notice provided). Coin redemptions are subject to the terms outlined above in this section.
7. Subscriptions & Payments
We offer various subscription tiers with different benefits. Current tiers and pricing are displayed on our website. Subscriptions are billed monthly (recurring monthly charge) on the same day each billing period using the payment method on file.
By subscribing, you authorize us to charge your payment method for initial and recurring subscription fees and any applicable taxes.
We may change subscription prices with 30 days' notice. Price changes apply immediately for new subscribers and at next renewal for existing subscribers. You may cancel before renewal to avoid price increase.
You may cancel your subscription at any time via account settings or by contacting support. Cancellation is effective at end of current billing period. No refunds for partial periods.
8. Prize Drawings (Raffles) & Contests
Prize Drawings (Raffles): We offer prize drawings where users spend coins to enter for a chance to win prizes (Amazon gift cards, cash prizes, etc.). Entry does not guarantee a win. Winners are selected randomly. Drawings are conducted fairly and winners are drawn within 24 hours of raffle closing.
Leaderboard Contests: We offer skill-based contests (Prompt Champion, Offerwall Champion) with coin prizes for top performers. Contest periods, prizes, and eligibility are posted on the platform.
Eligibility: You must be 18+ years old (or age of majority in your jurisdiction) and a legal resident of a jurisdiction where prize drawings/contests are legal. Void where prohibited.
Prize Claim Requirements: Winners must provide their full legal name and shipping address within 7 days of notification to claim prizes. Failure to provide information within this timeframe results in forfeiture of the prize. For aggregate winnings of $600+ per calendar year, winners must also provide Social Security Number or Tax Identification Number for IRS Form 1099-MISC reporting.
Prize Fulfillment: Prizes are delivered via email (gift card codes) through our fulfillment partner Tremendous within 24 hours of information submission and admin approval. Physical prizes may take longer based on shipping.
Our Rights: We reserve the right to substitute prizes of equal or greater value, disqualify participants for rule violations, fraud, or abuse, cancel or modify drawings/contests with notice, and verify winner eligibility before prize release.
Taxes: Winners are responsible for all taxes on prizes. U.S. winners receiving $600+ in prizes per calendar year will receive IRS Form 1099-MISC by January 31 of the following year. Winners are responsible for reporting prizes as income on their tax returns.
9. Intellectual Property
The Service and its original content (excluding user content), features, and functionality are owned by Prompt Raptor and are protected by international copyright, trademark, and other intellectual property laws.
Our trademarks include "Prompt Raptor," the Prompt Raptor logo, and related marks. You may not use these without prior written permission.
10. Content Ownership & License Grant
Your Content License to Us
By submitting, uploading, posting, or otherwise providing any content to Prompt Raptor (including but not limited to prompts, text, images, feedback, suggestions, ideas, or any other materials), you automatically grant Prompt Raptor and its affiliates, successors, and assigns a worldwide, perpetual, irrevocable, unlimited, assignable, sublicensable, fully paid-up and royalty-free right and license to:
Use, reproduce, modify, adapt, translate, create derivative works from, and publicly display your content in any form, format, or medium now known or later developed
Distribute, sell, license, sublicense, transfer, and otherwise commercialize your content in any manner whatsoever
Display your content on leaderboards, contests, promotional materials, marketing campaigns, social media, and any other platforms or media
Use your content for AI training, machine learning model development, algorithm improvement, quality analysis, and any other technological purposes
Incorporate your content into databases, prompt libraries, collections, compilations, or any other aggregated works
Create, publish, and distribute anonymized or attributed versions of your content
Use your username, profile information, and submission data in connection with your content
Grant sublicenses to third parties for any of the above purposes
Scope of License
This license is perpetual and irrevocable, meaning it continues forever and cannot be revoked, even if you delete your account or request removal of your content. We are under no obligation to remove, edit, or restrict use of any content you have submitted, even upon request.
Your Representations and Warranties
By submitting content, you represent, warrant, and covenant that:
You own or have all necessary rights, licenses, consents, and permissions to grant the above license
Your content does not infringe, violate, or misappropriate any third-party intellectual property, privacy, publicity, or other proprietary rights
Your content does not contain defamatory, obscene, illegal, or otherwise objectionable material
You have obtained all necessary consents if your content includes personal information of others
You waive all moral rights and rights of attribution in your content to the fullest extent permitted by law
No Compensation
You acknowledge and agree that you are not entitled to any compensation, revenue sharing, royalties, or other payment for our use of your content under this license, except for virtual coins earned at our discretion as outlined in these Terms. Coins may be redeemed for cash, prizes, or other rewards subject to our redemption policies, eligibility verification, fraud prevention review, and compliance requirements. All redemptions are subject to the terms outlined in Section 6 (Virtual Currency).
Content Moderation
We reserve the right (but have no obligation) to remove, reject, block, or modify any content at our sole discretion, for any reason or no reason, without notice or liability to you. We may use automated systems, AI, or human review to evaluate content quality and compliance.
Violations may result in warning, coin forfeiture, temporary suspension, permanent ban, and/or legal action.
12. Termination
You may terminate your account at any time by using the account deletion feature, contacting support, or emailing support@promptraptor.com. Upon termination, your account will be deactivated immediately, coins forfeited, subscriptions cancelled (no refund), and library access revoked.
We may terminate or suspend your account for Terms violations, illegal activity, fraud or abuse, prolonged inactivity (>2 years), or at our discretion with or without cause.
Upon termination, all licenses are immediately revoked, coins forfeited (no compensation), pending raffle entries cancelled (no refunds), and you forfeit all prizes and earnings.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
Merchantability, fitness for a particular purpose, and non-infringement
Accuracy, reliability, timeliness, or completeness of any content or information
Uninterrupted, secure, or error-free operation of the Service
That defects will be corrected or that the Service is free from viruses or harmful components
Results obtained from use of the Service or that coins earned will have any value
That prizes will be awarded, that raffles will be drawn as scheduled, or that any contest will be completed
No Liability for Third Parties: We are not responsible for user-submitted content, actions of other users, third-party websites or services (including offerwalls), third-party offers, availability of external AI platforms, payment processor issues, or prize fulfillment delays.
Virtual Currency Disclaimer: Coins are virtual items that may be redeemed for cash, prizes, or rewards subject to the terms in Section 6 (Virtual Currency). They cannot be transferred or exchanged between users. We may modify coin values, earning rates, redemption options, or cashout eligibility at any time without notice. Coins may be forfeited upon account termination.
Prize Disclaimer: We do not guarantee ability to earn coins, win contests or raffles, receive prizes or cashouts, or continued operation of any features. Prizes, rewards, and cashouts are subject to availability, eligibility verification, fraud prevention review, and may be denied, modified, or substituted at our discretion. Redemption values may change without notice. Tax obligations are solely your responsibility.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTRAPTOR, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER.
This includes but is not limited to:
Direct damages: Loss of data, coins, prizes, account access, or any other losses
Indirect damages: Loss of profits, revenue, business opportunities, goodwill, or anticipated savings
Consequential damages: Any damages arising from use or inability to use the Service
Incidental damages: Service interruptions, errors, delays, or content inaccuracies
Punitive damages: Even if we were advised of the possibility of such damages
Third-party actions: Conduct of other users, third-party offers, or external services
Account issues: Termination, suspension, coin forfeiture, or loss of access
Technical failures: Bugs, viruses, hacking, unauthorized access, or data breaches
Content issues: User-submitted content, intellectual property disputes, or offensive material
Maximum Liability Cap: In jurisdictions that do not allow exclusion of liability, our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the greater of: (a) $100 USD, or (b) the amount you paid us in subscription fees in the 12 months immediately preceding the claim.
Essential Basis of Bargain: You acknowledge that these limitations are an essential element of the agreement between you and Prompt Raptor, and that we would not provide the Service without these limitations.
Force Majeure: We are not liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, government actions, pandemics, internet outages, or failures of third-party services.
15. Dispute Resolution
Before filing a claim, contact us at support@promptraptor.com to resolve informally. We'll attempt resolution for 60 days.
If informal resolution fails, disputes will be resolved by binding arbitration under American Arbitration Association rules with one arbitrator. Exceptions include small claims court, intellectual property disputes, and equitable relief.
YOU AGREE TO ARBITRATE DISPUTES INDIVIDUALLY. YOU WAIVE RIGHT TO CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, AND CONSOLIDATED PROCEEDINGS.
These Terms are governed by laws of California, United States, without regard to conflict of law principles.
